1. Agreement & Acceptance of Terms
Welcome to Digital Rhino. By accessing, browsing, or using the digitalrhino.in website ('Site') or submitting any service request forms, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws in Delhi, India. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Scope of Marketing Services
Digital Rhino is a full-service agency providing digital marketing, Search Engine Optimization (SEO), Social Media Marketing (SMM), Web Design & Development, Creative Design & Branding, and Performance Marketing (Paid Campaigns). All projects, monthly retainer packages, and marketing campaigns are executed on a best-effort basis, drawing on data-led decisions and founder-level expertise.
3. Custom Pricing Calculator Estimates
The interactive package cost estimator featured on our Pricing page is provided solely for convenience and planning purposes. The figures calculated represent baseline estimates based on current service plans and selected addons (such as Video Editing, Posts, or Shoots). These estimates do not constitute a binding legal contract or a firm offer of services. A legally binding agreement is only established when an official Service Level Agreement (SLA) is signed by authorized representatives of both Digital Rhino and the client.
4. Client Cooperation, Approvals & Brand Assets
For Digital Rhino to perform its services effectively, the Client agrees to cooperate fully and provide correct company details, brand assets (logos, media files), copywriting inputs, and login credentials (where applicable) on schedule. Delays in providing necessary materials or design review approvals will result in corresponding extensions of launch timelines and project delivery schedules.
5. Intellectual Property & Code Ownership
All custom source code, website designs, campaign graphics, and copywriting materials created for the Client remain the intellectual property of Digital Rhino until all outstanding invoice balances and project milestone fees are settled in full. Upon receipt of full payment, Digital Rhino grants the Client a non-exclusive, royalty-free, perpetual license to use the developed assets for their business operations.
6. Payment Terms, Billing Retainers & Late Fees
All project setups require an advance payment (typically 50% of the total estimated project fee) before development or campaign coordination begins. Monthly retainers (for SMM and SEO packages) are billed in advance on the 1st of each calendar month and are payable within seven (7) business days. Digital Rhino reserves the right to suspend active campaigns, hosting services, or SEO maintenance if payments are overdue by more than fourteen (14) calendar days. Overdue balances shall accrue interest at a rate of 1.5% per month.
7. Limitations of Liability & Disclaimers
In no event shall Digital Rhino or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Digital Rhino's Site, even if Digital Rhino or a Digital Rhino authorized representative has been notified orally or in writing of the possibility of such damage. Specifically, Digital Rhino is not responsible for drops in organic search engine visibility resulting from Google algorithm core updates, changes in ad auction prices set by Facebook/Google Ads networks, or conversion threshold variations due to market competition.
8. Indemnification
You agree to defend, indemnify, and hold harmless Digital Rhino, its officers, founders, and employees from and against any claims, actions, or demands, including without limitation reasonable legal fees, alleging or resulting from your breach of these Terms of Service or your submission of copyrighted brand materials without proper authorization.
9. Governing Law & Delhi Jurisdictional Venue
These terms and conditions are governed by and construed in accordance with the laws of Delhi, India. You irrevocably submit to the exclusive jurisdiction of the Rohini Courts or Delhi High Court in Delhi for any disputes, claims, or legal actions arising out of or related to our marketing services or website operations.
10. Termination of Retainer Services
Either party may terminate an active monthly marketing retainer by providing a written notice of at least thirty (30) calendar days. Upon termination, the Client shall pay for all services rendered up to the effective termination date. Digital Rhino will hand over active campaign logins and web assets once all final invoice payments are received.
11. Policy Modifications
Digital Rhino may revise these Terms of Service for its Site at any time without notice. By using this website, you are agreeing to be bound by the then current version of these Terms of Service. It is your responsibility to review this page periodically for updates.
